Sale agency checkpoints

Close Your California Seller Permit After Selling

San Diego Business Brokers Group helps owners prepare for sale conversations. Selling the business does not automatically finish the seller’s sales tax account obligations.

Tell CDTFA what actually changed

Selling assets, changing partners and ending taxable operations can create different account questions. Give CDTFA the actual sale and operating dates rather than treating the purchase agreement as automatic notice.

Publication 74 describes notifying the California Department of Tax and Fee Administration when a business is sold or closed. Keep confirmation with your closing records.

Account for inventory and equipment

Explain how resale inventory, furniture, fixtures and equipment were disposed of. The agency may need sale prices, buyer details and the bill of sale or purchase agreement.

Retaining inventory or selling equipment can create tax questions distinct from ordinary sales receipts. Ask your CPA to reconcile the final return with the asset allocation and closing statement.

Separate your account from the buyer’s

Do not assume the buyer can keep using your permit. Confirm with CDTFA which account must close and which registrations the new owner needs.

Match the account holder, seller entity and actual operating activity. Keeping an entity alive after an asset sale does not by itself settle the status of its sales tax account.

Retain the record after operations stop

Keep the final returns, payment evidence and agency correspondence. Your CPA should confirm the applicable filing requirements and record retention period for your circumstances.

CDTFA closure is not city certificate cancellation. The City Treasurer and any other licensing agency may need separate notice, even when all requests relate to the same sale.

Confirm the plan for your transaction

This seller permit closure guide is general information, not tax or legal advice. Ask your CPA or attorney to confirm the current agency requirements for your actual sale.

Include seller permit closure in your agency task list. Keep the related figures consistent with the earnings file used to discuss value.

The seller permit closure process is separate from requesting a business valuation. Keep sensitive agency records out of the initial request form.
