A city certificate does not pass to the buyer
The City of San Diego says a Business Tax Certificate is not transferable when ownership changes. The new owner must apply for a new certificate.
The city’s Business Tax FAQ distinguishes an ownership change from an amendment to an existing corporation or LLC name. Your paperwork should accurately describe the transaction.
Ask the City Treasurer to close the right account
The seller should arrange cancellation or account updates with the Office of the City Treasurer. Do not assume a buyer’s application closes your certificate.
Have your account details, sale date and forwarding contact ready. Ask the city to confirm the effective closure date and any remaining reporting or payment obligations.
Do not use this city rule for the whole county
Chula Vista, Carlsbad, Escondido and other incorporated cities administer their own local requirements. Check the jurisdiction for each location you operate.
A county mailing address or a San Diego customer does not establish which city certificate your premises needs. Confirm the actual business location and activity with the agency.
Keep local closure in the larger closing file
Your CPA and attorney should reconcile city notices with state tax accounts and the legal structure of the deal. One cancellation does not complete every seller obligation.
Keep confirmation from the City Treasurer alongside your CDTFA records. If the buyer plans to trade immediately, ask how the buyer’s own application fits the operating handoff.
Confirm the plan for your transaction
This city certificate cancellation guide is general information, not tax or legal advice. Ask your CPA or attorney to confirm the current agency requirements for your actual sale.
Include city certificate cancellation in your agency task list. Keep the related figures consistent with the earnings file used to discuss value.

The city certificate cancellation process is separate from requesting a business valuation. Keep sensitive agency records out of the initial request form.
